Who we are

Ulterius LLC ("we," "us," or "our") is a technology company based in Dayton, Ohio. These terms explain how our Website as a Service offering works and what you agree to when you purchase or use it.

What standard WaaS includes

Standard WaaS is a fast, standardized website service for small local businesses. It is built for static marketing websites, not custom applications.

  • Typical scope. Usually 3 to 5 static pages such as Home, Services, About, and Contact, plus business information, calls to action, and brand customization.
  • Included setup. Responsive layout, template based design, hosting setup, domain connection, SSL, basic SEO structure, and Google Analytics setup.
  • Not included by default. Databases, user accounts, dashboards, booking, e-commerce, payment processing, CRM integrations, API integrations, automation workflows, dynamic content, or custom business logic.

Quotes, scope, and changes

A project is limited to the scope confirmed in the quote or agreement. Requests outside the agreed scope may require a revised quote, a separate add-on, or a move to a Custom Website project.

Pricing and payment

Current pricing for standard WaaS plans and add-ons is shown on our pricing page . Custom proposals may override standard pricing where explicitly stated.

Subscription

Subscription services are billed on the agreed schedule and include hosting, maintenance, and minor updates within the agreed scope unless otherwise stated.

Basic Contact Form Add-on

The Basic Contact Form Add-on remains limited to simple lead capture, email notification, basic validation, and bot or spam protection.

One time build option

One time build projects and any optional maintenance are billed according to the accepted proposal or invoice.

Subscription terms

  • Subscription fees are billed in advance on the agreed billing schedule.
  • Hosting and routine maintenance remain active only while the subscription is current.
  • Late or failed payment may result in paused updates or temporary suspension of the site.
  • During an active subscription, Ulterius may retain operational control of hosting and deployment so the service can be maintained consistently.

One time builds and ownership

For one time builds, ownership and handoff terms are completed after final payment. Ongoing hosting, domain renewal, maintenance, and future changes are the client's responsibility unless a separate maintenance arrangement is in place.

Client responsibilities

  • Provide accurate business details, logos, images, and content needed for launch.
  • Review drafts and approvals within a reasonable timeframe.
  • Ensure submitted content does not infringe third party rights or break the law.
  • Keep external services and domain account access current when those accounts are client owned.

Contact forms and custom features

Standard WaaS does not include a contact form by default. If a client purchases the Basic Contact Form Add-on, it remains limited to simple lead capture and email notification. Requests involving storage, CRM sync, booking, payments, uploads, user accounts, dashboards, or other custom logic are outside standard WaaS and require separate scoping.

Acceptable use and suspension

We may refuse, pause, or terminate service for unlawful activity, fraud, abusive behavior, malware distribution, intellectual property violations, or misuse that creates operational or legal risk.

Limitation of liability

WaaS is provided on a reasonable best effort basis. To the maximum extent permitted by law, Ulterius is not liable for indirect, incidental, special, or consequential damages. Any direct liability is limited to the amount paid by the client for the affected service during the 12 months before the claim.

Changes to these terms

We may update these terms as the service evolves. The latest version will be posted on this page with a revised date.
