Terms of Service

1. Who we are

Ulterius LLC ("we", "us", or "Ulterius") is an Ohio limited liability company based in Dayton, Ohio. WaaS refers to our Website as a Service product, accessible at waas.ulterius.dev.

2. The service

We design, build, host, and maintain websites for small businesses. Two engagement models are available: a monthly subscription, or a one-time build with optional maintenance.

3. Demo sites

From time to time we publish unsolicited demo websites at waas.ulterius.dev/[business-name] to introduce our service to local business owners. These demos are private, not indexed by search engines, and are automatically removed after seven days unless the business owner requests otherwise.

4. Subscription terms

Monthly subscriptions are billed in advance. There is no minimum commitment — you may cancel at any time. If a payment fails or is not received within fourteen days of the due date, the website may be taken offline until the account is brought current.

While a subscription is active, Ulterius retains administrative control of the hosting environment, domain, and source code. Ownership transfers only under the one-time build option.

5. One-time builds

Under the one-time build option, source code is transferred to the client upon final payment. Ongoing hosting, domain renewal, and maintenance become the client's responsibility unless a separate maintenance plan is agreed.

6. Content and reviews

Demo sites may include publicly available business information such as the business name, address, phone number, and review excerpts. If you are a business owner and would like content removed, contact waas@ulterius.dev and we will take the demo down within two business days.

7. Acceptable use

The websites we build must not be used for unlawful activity, fraudulent claims, or content that violates the rights of others. We reserve the right to refuse or terminate service for misuse.

8. Limitation of liability

The service is provided "as is". To the fullest extent permitted by law, Ulterius is not liable for indirect, incidental, or consequential damages. Total liability for any direct claim is limited to the amount paid under the relevant subscription or one-time build during the prior twelve months.

9. Changes to these terms

We may update these terms over time. The "last updated" date above reflects the latest revision. Continued use of the service after a revision constitutes acceptance of the updated terms.

10. Governing law

These terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules.
